These Terms and Conditions ("Terms") govern your access to and use of the game Haven's Compass(the "Game"), developed by Ghost Ivy Development Studio AG ("Ghost Ivy," "we," or "us"). By accessing or using the Game, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Game.
1. Acceptance of Terms:
1.1 You must be at least 13 years of age to access or use the Game.
1.2 By accessing or using the Game, you represent and warrant that you have the legal capacity to enter into these Terms.
2. Suspension and Termination of Account and Service:
2.1 WITHOUT LIMITING ANY OTHER REMEDIES, Ghost Ivy Development Studio AG may limit, suspend, terminate, modify, or delete player accounts or access to the Services or portions thereof if you are, or Ghost Ivy Development Studio AG suspects that you are, failing to comply with any of these Terms or for any actual or suspected illegal or improper use of the Services, with or without notice to you. You can lose your user name and persona in the Services as a result of account termination or limitation, as well as any benefits,privileges, earned items, and purchased items associated with your use of the Services, and Ghost Ivy Development Studio AG is under no obligation to compensate you for any such losses or results.
2.2 WITHOUT LIMITING OUR OTHER REMEDIES, Ghost Ivy Development Studio AG may limit, suspend or terminate the Services and portions thereof, prohibit access to Services' games and sites, and their content, services, and tools, delay or remove hosted content, and take technical and legal steps to prevent users from accessing the Services if Ghost Ivy Development Studio AG believes that the users are creating risk or possible legal liabilities, infringing the intellectual property rights of third parties, or acting inconsistently with the letter or spirit of these Terms or other policies. Additionally, Ghost Ivy Development Studio AG may, in appropriate circumstances and at its sole discretion, suspend or terminate accounts of users who Ghost Ivy Development Studio AG believes may be repeat infringers of third-party intellectual property rights.
2.3 Ghost Ivy Development Studio AG reserves the right to terminate any account that has been inactive for 180 days.
2.4 Ghost Ivy Development Studio AG reserves the right to stop offering and/or supporting the Services or a particular game or part of the Services at anytime, at which point your license to use the Services or a part thereof will be automatically terminated. In such an event, Ghost Ivy Development Studio AG shall not be required to provide refunds, benefits, or other compensation to users in connection with such discontinued Services.
2.5 Termination of your account can include disabling your access to the Services or any part thereof, including any content you submitted or others submitted.
2.6 You may terminate your account at any time and for any reason by contacting our customer support at info@ghostivy.com or by using the in-game "contact support" function available in some games.
3. User Conduct:
3.1 You agree to use the Game in compliance with all applicable laws and regulations.
3.2 You agree not to engage in any conduct that may disrupt or interfere with the operation or security of the Game or any related servers or networks.
3.3 You agree not to use cheats, exploits, automation software, bots, hacks,mods, or any unauthorized third-party software designed to modify or interfere with the Game.
3.4 You agree not to engage in any activity that violates the rights of others,including but not limited to infringing intellectual property rights, privacy rights, or any other proprietary rights.
3.5 You agree not to harass, abuse, threaten, or impersonate other players or Ghost Ivy personnel.
3.6 You agree not to engage in any unauthorized commercial activity, such as advertising or selling virtual items or accounts without explicit permission from Ghost Ivy.
4. Intellectual Property:
4.1 The Game and all associated content, including but not limited to graphics,images, audio, video, text, and virtual items, are the intellectual property of Ghost Ivy or its licensors.
4.2 You may not copy, modify, distribute, sell, or lease any part of the Gameor its content without the prior written consent of Ghost Ivy.
4.3 You may not reverse engineer, decompile, or disassemble the Game or any related software.
5. Privacy Policy:
5.1 Ghost Ivy collects and uses personal information as outlined in its Privacy Policy. By accessing or using the Game, you consent to the collection and useof your personal information as described in the Privacy Policy.
6. Purchases:
6.1 In the Services, you may purchase, with "real-world" money, a limited, personal, non-transferable, non-sublicensable, revocable license touse (a) "virtual currency," including but not limited to virtual cashor gems, all for use in the Services; and (b) "virtual in-game items"(together with "virtual currency," "Virtual Items"). Youare only allowed to purchase Virtual Items from us or our authorized partners through the Services and not in any other way.
6.2 Ghost Ivy may manage, regulate, control, modify, or eliminate Virtual Items at any time, with or without notice. Ghost Ivy shall have no liability to you or any third party in the event that Ghost Ivy exercises any such rights.
6.3 The transfer of Virtual Items is explicitly prohibited. You shall not sell,purchase, redeem, or otherwise transfer Virtual Items to any person or entity or attempt any of the aforesaid, including but not limited to Ghost Ivy, another user, or any third party.
6.4 ALL PURCHASES AND REDEMPTIONS OF VIRTUAL ITEMS MADE THROUGH THE SERVICE ARE FINAL AND NON-REFUNDABLE.
6.5 The provision of Virtual Items for use in Ghost Ivy games is a service provided by Ghost Ivy that commences immediately upon acceptance by Ghost Ivyof your purchase.
7. Payments:
7.1 You agree to pay all fees and applicable taxes incurred by you or anyone using an account registered to you. Ghost Ivy may revise the pricing for the goods and services offered through the Services at any time.
7.2 YOU ACKNOWLEDGE THAT Ghost Ivy IS NOT REQUIRED TO PROVIDE A REFUND FOR ANY REASON, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION FOR UNUSED VIRTUAL ITEMS WHEN AN ACCOUNT IS CLOSED, WHETHER SUCH CLOSURE WAS VOLUNTARY OR INVOLUNTARY.
8. Limitation of Liability:
8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Ghost Ivy OR ITS AFFILIATES, LICENSORS, EMPLOYEES, AGENTS, OR THIRD-PARTY PARTNERS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS,GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE GAME, REGARDLESS OF WHETHER Ghost Ivy HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Ghost Ivy's total liability to you for any claims arising out of or in connection with these Terms or your use of the Game shall not exceed the amount you have paid to Ghost Ivy, if any, for access to the Game.
9. Governing Law and Jurisdiction:
9.1 These Terms shall be governed by and construed in accordance with the lawsof Switzerland, without regard to its conflict of laws principles.
9.2 Any dispute arising out of or relating to these Terms or your use of the Game shall be submitted to the exclusive jurisdiction of the courts of Lucerne, Switzerland.
10. Miscellaneous:
10.1 These Terms constitute the entire agreement between you and Ghost Ivy regarding the Game and supersede all prior or contemporaneous understandings and agreements.
10.2 If any provision of these Terms is found to be invalid or unenforceable,the remaining provisions shall remain in full force and effect.
10.3 Ghost Ivy's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
10.4 Ghost Ivy may assign or transfer these Terms, in whole or in part, without restriction.
10.5 You may not assign or transfer these Terms without the prior written consent of Ghost Ivy.
